The rules that govern access to and use of Miogra’s applications, websites, products, and related services.

Please read these terms carefully. By creating an account, placing an order, registering as a seller or delivery partner, or otherwise using Miogra, you agree to these Terms and our Privacy Policy.

1. Acceptance and scope

These Terms & Conditions (“Terms”) form a binding agreement between you and the entity operating Miogra (“Miogra”, “we”, “us”, or “our”). They apply to our applications, websites, administrative tools, and related marketplace, ordering, payment, fulfilment, delivery, and support services (together, the “Service”). If you do not agree, do not use the Service.

2. Eligibility and accounts

  • You must be at least 18 years old and legally capable of entering a contract.
  • You must provide accurate, current information and keep it updated.
  • You are responsible for activity on your account and for protecting credentials and one-time passwords.
  • You must promptly notify Miogra of suspected unauthorised use.

We may require identity, business, licence, tax, bank, or other verification before enabling certain features.

3. Miogra’s role

Miogra provides technology that may connect customers with independent sellers and delivery partners. Unless expressly stated otherwise, sellers are responsible for their listings, prices, availability, product quality, legal compliance, and fulfilment obligations. Delivery partners are responsible for safely and lawfully performing accepted deliveries. Availability varies by location and may change.

4. Listings, orders, fees, and payments

  • Product images and descriptions are illustrative; reasonable variations may occur.
  • An order is subject to availability and acceptance. We may reject or cancel an order for pricing errors, suspected fraud, safety concerns, legal restrictions, or inability to fulfil.
  • You authorise the applicable payment provider to charge the displayed amount, including price, taxes, delivery charges, platform fees, tips, and other disclosed charges.
  • Applicable fees and taxes will be shown before confirmation where practicable.
  • Promotions may have separate eligibility, validity, and usage conditions.

5. Cancellations, returns, and refunds

Cancellation, return, replacement, and refund eligibility depends on the item or service, fulfilment stage, reason, and applicable policy or law. A cancellation fee may apply after a seller begins preparation or a delivery partner is assigned. Approved refunds are sent to the original payment method or an eligible Miogra balance and may take additional time to appear because of payment-provider processing.

6. Acceptable use

You must not:

  • Use the Service for unlawful, fraudulent, abusive, dangerous, or misleading activity.
  • Interfere with platform security, scrape data without permission, reverse engineer the Service, or introduce malicious code.
  • Impersonate another person, manipulate ratings or promotions, create fraudulent transactions, or avoid applicable fees.
  • Harass, threaten, discriminate against, or endanger customers, sellers, delivery partners, staff, or the public.
  • Buy, sell, transport, or request prohibited or restricted items contrary to law or platform policy.

7. Seller and delivery-partner obligations

Sellers and delivery partners must maintain all required registrations, licences, insurance, equipment, and approvals; comply with safety, consumer, tax, labour, and sector-specific laws; provide accurate information; protect personal data received through Miogra; and use that data only to complete authorised transactions. Their relationship with Miogra is governed by any additional agreement applicable to their role.

8. Content and intellectual property

Miogra and its licensors own the Service, software, branding, design, and related intellectual property. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. You retain ownership of content you submit, but grant Miogra a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt, display, and use it as needed to operate and promote the Service. You represent that you have the rights required to submit that content.

9. Third-party services

The Service may rely on payment processors, mapping providers, communication tools, or external links. Those services may have their own terms and privacy practices. Miogra is not responsible for third-party services outside our reasonable control.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We do not guarantee uninterrupted access, error-free operation, exact delivery times, continuous product availability, or that every seller’s or partner’s statement is accurate. Nothing in these Terms excludes guarantees, warranties, or rights that cannot legally be excluded.

11. Limitation of liability

To the maximum extent permitted by applicable law, Miogra will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, data, goodwill, or business opportunity arising from use of the Service. Our aggregate liability for a claim will not exceed the greater of the amount you paid to Miogra for the transaction giving rise to the claim or the minimum amount required by law. These limits do not apply where liability cannot legally be limited.

12. Indemnity

To the extent permitted by law, business users, sellers, and delivery partners agree to defend and indemnify Miogra against third-party claims and reasonable costs arising from their content, products, services, breach of these Terms, misuse of the Service, or violation of law or another person’s rights.

13. Suspension and termination

You may stop using the Service at any time. We may restrict, suspend, or close an account where we reasonably believe these Terms were breached, verification failed, activity creates risk, payment remains due, or action is required by law. Where appropriate, we will provide notice or an opportunity to appeal. Provisions intended by their nature to survive termination will remain in effect.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Before filing a formal claim, please contact support and allow a reasonable opportunity to resolve the matter. Subject to mandatory consumer rights and applicable law, courts with jurisdiction over Miogra’s registered office will have jurisdiction over disputes.

15. Changes to these Terms

We may revise these Terms to reflect service, business, or legal changes. We will post the revised Terms with an updated effective date and provide additional notice where required. If you continue using the Service after the effective date, you accept the revised Terms.
